These Terms of Service govern your use of Connectram PH VA Services and all associated service engagements. By engaging our services, you acknowledge that you have read, understood, and agreed to be bound by these terms. Please read them carefully.
Connectram PH VA Services ("Connectram PH," "we," "us," or "our") provides professional offshore staffing and business process support services to clients located in the United States and other jurisdictions. Our services include, but are not limited to: • Administrative & Virtual Assistance — calendar management, email handling, document preparation, scheduling, and executive support. • Customer Support — inbound inquiry handling, ticket resolution, client communication, and live chat support. • Social Media Management — content scheduling, community management, engagement monitoring, and reporting. • Data Entry & Research — database management, web research, lead list building, and data validation. • Outreach Services — email outreach, LinkedIn prospecting, referral partner campaigns, and follow-up sequences. • Inbound Support — call answering, appointment setting, inquiry qualification, and message relay. • Outbound Operations — outbound calling, lead follow-up, warm transfers, and appointment confirmation campaigns. Services are rendered by Connectram PH team members operating from office-based facilities in the Philippines and are delivered remotely to clients.
By engaging Connectram PH services — whether through our website, a signed service agreement, verbal agreement, or payment — you ("Client") confirm that: • You are at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or your organization. • You have read, understood, and agree to be bound by these Terms of Service in their entirety. • If you are accepting these Terms on behalf of a company or legal entity, you represent that you have the authority to bind that entity. These Terms constitute a legally binding agreement between you and Connectram PH VA Services. Use of our services constitutes acceptance of these Terms.
Clients are responsible for ensuring that all tasks assigned to Connectram PH are lawful, ethical, and compliant with applicable regulations. Specifically: • Clients must not request services that involve fraud, misrepresentation, defamation, harassment, or any unlawful activity. • For outreach, inbound, and outbound services: Clients are solely responsible for compliance with the CAN-SPAM Act (15 U.S.C. § 7701), the Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227), and any applicable state-level telemarketing and email marketing laws. Connectram PH executes outreach tasks per Client instructions and assumes no liability for regulatory violations arising from Client-provided lists, scripts, or campaign strategies. • Clients must provide accurate, complete, and lawfully obtained contact lists and data. • Clients must not instruct team members to engage in impersonation, spam, or any form of deceptive communication. • Abuse of team members — including verbal abuse, inappropriate requests, or discriminatory conduct — will result in immediate service suspension without refund.
When Connectram PH provides outreach, inbound, or outbound calling services, the following terms apply: • Contact List Compliance: Clients warrant that all contact lists provided have been obtained lawfully and are compliant with the National Do Not Call Registry and applicable regulations. Clients indemnify Connectram PH against any claims arising from non-compliant lists. • Script Approval: All outbound scripts, email templates, and outreach messaging must be reviewed and approved by the Client before deployment. Connectram PH will not independently create scripts without Client input and sign-off. • No Guarantee of Results: Connectram PH makes no guarantees regarding the outcome of outreach campaigns, including call connection rates, response rates, appointments booked, or revenue generated. Results depend on market conditions, product-market fit, list quality, and other factors outside our control. • US Call Recording Laws: Clients are responsible for ensuring compliance with applicable call recording consent laws, including state-specific two-party consent laws (e.g., California Penal Code § 632). If recordings are required, Clients must instruct and confirm consent protocols.
• Fees are invoiced in Philippine Peso (PHP) or US Dollar (USD) as agreed upon in the service engagement. • Payment is due upon receipt of invoice unless otherwise agreed in writing. • Late payments beyond 7 days from the due date may result in a service hold. Connectram PH reserves the right to suspend services without liability until outstanding balances are settled. • Clients will receive a minimum of 15 days' written notice prior to any rate or fee changes. Continued use of services after the effective date of a rate change constitutes acceptance. • All fees are exclusive of applicable taxes, wire transfer fees, or currency conversion charges, which are the responsibility of the Client.
• Dispute Window: Any billing disputes must be raised within 3 business days of invoice issuance. Disputes raised after this window will not be eligible for credit or refund. • Cancellation Notice: Clients must provide a minimum of 5 business days' written notice to cancel or discontinue services. Cancellations without sufficient notice may result in forfeiture of the current billing period. • Refunds are evaluated on a case-by-case basis and are generally not issued for completed work, time already worked, or campaigns already launched. • Connectram PH may terminate services immediately for violations of these Terms, in which case no refund will be issued for the remainder of the billing cycle.
• All deliverables, outputs, reports, content, and work product created by Connectram PH team members specifically for a Client engagement become the property of the Client upon receipt of full payment for the applicable billing period. • Connectram PH retains ownership of its proprietary tools, templates, processes, training materials, internal systems, and methodologies. Nothing in these Terms grants Clients any license to Connectram PH's internal intellectual property. • Clients grant Connectram PH a limited, non-exclusive license to use Client-provided materials, branding, and content solely for the purpose of performing contracted services.
• Each party agrees to keep confidential all non-public information received from the other party in connection with the services, including but not limited to business strategies, client lists, financial data, operational processes, and personnel information. • Connectram PH team members are bound by internal confidentiality agreements and are trained in data handling protocols. • Confidentiality obligations survive the termination of services and remain in effect indefinitely unless the information enters the public domain through no fault of the receiving party. • Clients must not share Connectram PH internal systems, team contacts, or operational details with third parties without prior written consent.
• Connectram PH operates as an independent service provider. Nothing in these Terms creates an employer-employee relationship, partnership, joint venture, or agency between the Client and Connectram PH or its team members. • All Connectram PH team members are employed by and under the governance of Connectram PH as a Philippine-registered business entity. They are subject to Philippine labor law, social welfare requirements (SSS, PhilHealth, Pag-IBIG), and local employment regulations — not US employment law. • Clients may not directly hire, solicit, or engage any Connectram PH team member independently during the term of service or within 12 months after service termination without written consent and applicable placement fees.
CONNECTRAM PH PROVIDES ALL SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CONNECTRAM PH DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CONNECTRAM PH DOES NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. INTERNET CONNECTIVITY, PLATFORM AVAILABILITY, AND THIRD-PARTY INTEGRATIONS ARE OUTSIDE OUR DIRECT CONTROL AND SUBJECT TO THEIR OWN TERMS AND CONDITIONS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONNECTRAM PH, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR TEAM MEMBERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES PROVIDED. IN ALL CASES, CONNECTRAM PH'S TOTAL AGGREGATE LIABILITY TO A CLIENT FOR ANY CLAIMS ARISING IN CONNECTION WITH A SPECIFIC BILLING MONTH SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT TO CONNECTRAM PH DURING THAT SPECIFIC CALENDAR MONTH IN WHICH THE CLAIM AROSE.
• Either party may terminate services with the required notice period as set forth in §06. • Connectram PH reserves the right to immediately suspend or terminate services — without prior notice and without refund — in cases of: – Client abuse, harassment, or threatening behavior toward team members. – Instructions to perform illegal, unethical, or fraudulent tasks. – Non-payment beyond the grace period. – Material breach of any provision of these Terms. • Upon termination, Clients must promptly return or destroy any confidential Connectram PH materials and cease use of any proprietary tools or access credentials provided.
• These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles. • US Clients acknowledge that Connectram PH is a Philippine-based entity and expressly consent to Philippine jurisdiction as the primary governing framework for any disputes arising from these Terms. • In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice of the dispute. • If good-faith negotiation fails, disputes shall be submitted to binding arbitration in the Philippines under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI) or a mutually agreed arbitration body. • Each party waives any right to participate in class action lawsuits or class-wide arbitration in connection with any dispute arising from these Terms.
Connectram PH reserves the right to modify these Terms of Service at any time. Changes will be posted on our website with an updated effective date. For material changes, we will provide at least 15 days' written notice via email or platform notification where feasible. Continued use of Connectram PH services after the effective date of any modification constitutes your acceptance of the updated Terms.
